TERMS OF SERVICES

Governing the Use of the Jakarta Real Estate Platform and All Facilitation, Referral, and Advisory-Coordination Services Provided in Connection with Real Estate Investment Opportunities in the Republic of Indonesia

Last Updated: July 13, 2026

1. Introduction and Acceptance of Terms

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you ("Investor", "User", "you", or "your"), and [Jakarta Real Estate legal entity name, e.g., PT Jakarta Real Estate Digital / PT Jakarta Real Estate Konsultan] ("Jakarta Real Estate", "Company", "we", "us", or "our"), a company organized and existing under the laws of the Republic of Indonesia, with its registered office at [registered address], operating the website/platform located at [domain] and any associated mobile applications (collectively, the "Platform").

1.1 Acceptance. By creating an account, submitting an investment requirement or enquiry form, accessing any part of the Platform, or otherwise engaging Jakarta Real Estate in any capacity, you acknowledge that you have read, understood, and agree to be irrevocably bound by these Terms, our Privacy Policy, and any supplementary engagement letter, service order, or fee agreement issued to you (collectively, the "Agreement"). If you do not agree to any part of these Terms, you must immediately cease use of the Platform and must not submit any enquiry, requirement, or instruction to Jakarta Real Estate.

1.2 Capacity to contract. You represent that you are at least 18 years of age (or the age of majority in your home jurisdiction, if higher), that you have full legal capacity to enter into binding contracts, and that if you are acting on behalf of a company, trust, fund, or other entity, you have full corporate and legal authority to bind that entity to this Agreement.

1.3 Non-exclusivity of relationship. Nothing in this Agreement creates a partnership, joint venture, fiduciary relationship, agency (except to the limited extent expressly stated in Clause 3), trusteeship, or employment relationship between you and Jakarta Real Estate. The relationship between the parties is strictly that of an independent contractor providing facilitation and referral services.

2. Definitions and Interpretation

In this Agreement, unless the context otherwise requires:

"Applicable Law" means all laws, regulations, government regulations (Peraturan Pemerintah), ministerial regulations (Peraturan Menteri), and implementing rules of the Republic of Indonesia in force from time to time, including but not limited to the Basic Agrarian Law No. 5 of 1960 (UUPA), Law No. 25 of 2007 on Investment, Government Regulation No. 18 of 2021, Government Regulation No. 28 of 2025, Permen ATR/BPN No. 29/2016 and No. 5/2025, Law No. 8 of 2010 on the Prevention and Eradication of Money Laundering, and Law No. 27 of 2022 on Personal Data Protection.

"Investment Opportunity" or "Opportunity" means any real estate asset, project, unit, development, leasehold interest, corporate vehicle (including any PT PMA), or related instrument identified, shortlisted, or introduced to the Investor by Jakarta Real Estate, whether located in Jakarta, Bali, or elsewhere in Indonesia.

"Third-Party Provider" means any independent notaris, PPAT (Pejabat Pembuat Akta Tanah), advocate (advokat), tax consultant, accountant, licensed real estate broker, property developer, seller, landlord, PT PMA sponsor, bank, or other third party engaged, introduced, or referred to the Investor in connection with an Opportunity, whether or not such engagement is coordinated through the Platform.

"Due Diligence" means the complete legal, financial, technical, tax, title, zoning, licensing, and commercial investigation that a prudent investor is required to conduct, or cause to be conducted by independent qualified professionals, before committing funds to any Opportunity.

"Services" means the facilitation, introduction, information-aggregation, requirement-matching, and administrative coordination services described in Clause 3, and expressly excludes the matters listed in Clause 3.5 and Clause 8.

"Losses" means any and all losses, damages, costs, expenses, liabilities, diminution in value, loss of profit, loss of capital, or consequential or indirect loss of any nature whatsoever.

3. Nature of the Services — Facilitation Only

3.1 Role of Jakarta Real Estate. Jakarta Real Estate operates a facilitation and introduction Platform. Its role is strictly and exclusively limited to: (a) receiving and processing Investor requirement submissions (including budget, location, and asset-type preferences); (b) curating and presenting a list of Investment Opportunities that may match the stated requirements, drawn from developers, sellers, agents, or other sources; (c) introducing the Investor to Third-Party Providers for legal, notarial, tax, accounting, banking, immigration (KITAS/KITAP), or other services requested by the Investor; and (d) providing general, non-binding administrative coordination among the Investor and the Third-Party Providers the Investor chooses to engage.

3.2 Jakarta Real Estate is not a party to the transaction. Jakarta Real Estate is never a seller, developer, landlord, escrow agent, lender, guarantor, custodian, fund manager, or counterparty to any Investment Opportunity. All sale and purchase agreements, lease agreements, notarial deeds (including any Akta Jual Beli), shareholder agreements, or PT PMA incorporation documents are executed solely between the Investor and the relevant third party (developer, seller, landlord, or company), and Jakarta Real Estate is not a signatory to, and assumes no obligation, warranty, or liability under, any such document.

3.3 No discretionary authority over funds. Jakarta Real Estate does not, at any time, receive, hold, control, commingle, or have signatory authority over Investor funds. All payments in respect of an Opportunity — including purchase price, deposits, taxes (such as BPHTB and PPh Final), notarial fees, and professional fees — must be paid by the Investor directly to the relevant seller, developer, Third-Party Provider, notaris trust/escrow account, or Indonesian tax authority, and never to Jakarta Real Estate as consideration for the underlying asset.

3.4 Referral of professional services. Where the Investor requests legal, accounting, tax, notarial, or immigration assistance, Jakarta Real Estate will introduce the Investor to independent Third-Party Providers who are separately licensed under Applicable Law (including advocates licensed by PERADI and notaris/PPAT appointed by the Ministry of Law). Any engagement between the Investor and a Third-Party Provider is a separate contract, governed by that provider's own terms of engagement, fee structure, and professional liability regime, to which Jakarta Real Estate is a stranger.

3.5 Express exclusions. For the avoidance of doubt, the Services do NOT include, and Jakarta Real Estate shall not be deemed at any time to have provided: (a) legal advice or legal opinions; (b) tax advice or tax structuring; (c) investment advice, portfolio advice, or securities/financial advisory services of any kind; (d) valuation or appraisal services; (e) title guarantees or verification of clear and marketable title; (f) any assurance, representation, or warranty as to the profitability, rental yield, capital appreciation, resale value, or liquidity of any Opportunity; or (g) currency hedging, tax remittance, or fund transfer services.

4. Investor Eligibility, Representations, and Warranties

4.1 General eligibility. The Investor represents and warrants, on a continuing basis throughout the term of this Agreement, that: (a) all information provided to Jakarta Real Estate (including identity, source of funds, budget, and investment objectives) is true, complete, and not misleading; (b) the Investor is not a person or entity subject to any applicable sanctions, anti-money-laundering watchlist, or politically-exposed-person restriction that would prohibit the proposed investment; and (c) the funds to be invested are derived from lawful sources.

4.2 Foreign investor acknowledgment. The Investor acknowledges and agrees that, under the Basic Agrarian Law No. 5 of 1960 (UUPA), freehold title (Hak Milik) over land in Indonesia is reserved exclusively for Indonesian citizens and may not be held, directly or indirectly, by a foreign individual or foreign entity. Any arrangement designed to circumvent this restriction — including so-called "nominee" arrangements under which an Indonesian citizen holds Hak Milik title on trust for, or subject to side-letter obligations to, a foreign beneficial owner — is void and unenforceable under Article 26(2) of the UUPA and may expose the underlying asset to forfeiture to the State.

4.3 Permitted structures disclosed, not recommended. The Investor acknowledges that Jakarta Real Estate has explained, for general informational purposes only, that foreign investors typically access Indonesian real estate through one or more of the following legally recognized structures, and that the suitability of any structure for the Investor's specific circumstances must be independently verified with the Investor's own legal and tax advisors:

Hak Pakai (Right of Use) — available to individual foreign nationals who hold a valid KITAS/KITAP or qualifying visa (e.g., Second Home Visa), subject to minimum property value thresholds that vary by region and are set and revised by government regulation from time to time;

Hak Sewa (Leasehold) — a contractual lease arrangement, typically for a fixed term, which does not confer a registrable land right but is commercially accepted when properly documented and notarized;

PT PMA (foreign capital investment company) holding Hak Guna Bangunan (HGB) or Hak Pakai — subject to minimum paid-up and total investment capital thresholds prescribed by BKPM/OSS regulations as amended from time to time, and to sector restrictions under Indonesia's Positive Investment List; and

Strata title (Hak Milik Satuan Rumah Susun / HMSRS) — ownership of an apartment/condominium unit, subject to the underlying land remaining under Hak Milik or HGB held by the developer or owners' association, and subject to the specific eligibility conditions applicable to foreign strata ownership.

4.4 No nominee arrangements. The Investor expressly agrees that it will not request, instruct, or authorize Jakarta Real Estate, any Third-Party Provider, or any affiliate to establish, facilitate, or participate in any nominee shareholding, nominee land title, or similar arrangement that purports to circumvent Indonesian foreign ownership restrictions. Jakarta Real Estate reserves the right to refuse, suspend, or terminate the Services immediately, without liability, if it reasonably suspects that the Investor is seeking to use the Platform for such purpose.

4.5 Regulatory and tax compliance is the Investor's responsibility. The Investor is solely responsible for: (a) obtaining any visa, KITAS, KITAP, or other immigration status required to hold the relevant land right; (b) complying with all Bank Indonesia foreign exchange reporting and repatriation rules applicable to inbound and outbound investment funds; (c) obtaining an Indonesian Taxpayer Identification Number (NPWP) where required; and (d) filing and paying all applicable transfer taxes (including BPHTB), income taxes (including PPh Final on disposal), and any other levies arising from the Investment Opportunity, in the Investor's home jurisdiction and in Indonesia.

5. Investor's Own Due Diligence — Sole Responsibility

5.1 Non-delegable duty. THE INVESTOR ACKNOWLEDGES AND AGREES THAT THE OBLIGATION TO CONDUCT COMPLETE, INDEPENDENT DUE DILIGENCE ON ANY OPPORTUNITY RESTS SOLELY AND EXCLUSIVELY WITH THE INVESTOR. This obligation is personal to the Investor, cannot be discharged or delegated to Jakarta Real Estate merely by reason of the introduction having been made through the Platform, and survives regardless of any general information, opinion, or documentation that Jakarta Real Estate may have shared.

5.2 Minimum due diligence expected. Without limiting Clause 5.1, before committing to any Opportunity the Investor shall, at its own cost and through independent qualified professionals of its own choosing:

verify title (certificate type — Hak Milik, HGB, Hak Pakai, or Girik/adat land status), through an independent search at the relevant Kantor Pertanahan (Land Office / BPN), and confirm the land is free of encumbrance, dispute, sengketa (dispute), sita (seizure), or double-certification;

verify the seller's/developer's legal standing, corporate authority, and any required building/zoning permits (PBG, formerly IMB) and, for developments, the developer's track record and financial standing;

obtain independent legal review of every contract, deed, and PT PMA constitutional document before signature;

obtain independent tax and accounting advice on the total cost of acquisition, holding, and eventual disposal, including BPHTB, PPh, VAT/PPN where applicable, and any withholding taxes in the Investor's home jurisdiction;

independently verify any projected rental yield, occupancy rate, or capital appreciation figure supplied by a developer, agent, or any other party, none of which is verified, endorsed, or guaranteed by Jakarta Real Estate; and

satisfy itself as to currency, repatriation, and foreign exchange control considerations relevant to moving investment proceeds into and out of Indonesia.

5.3 Reliance at Investor's own risk. Any material, listing, projection, brochure, translation, or summary provided via the Platform is provided for general informational and lead-generation purposes only, sourced in whole or in part from third parties (including developers and sellers), and has not been independently verified by Jakarta Real Estate for accuracy or completeness. The Investor acknowledges that it does not and will not rely on any such material as a substitute for its own independent due diligence, and that any decision to proceed with an Opportunity is made entirely on the Investor's own judgment and at the Investor's own risk.

6. No Investment Advice; No Guarantee of Returns

6.1 No advice. Nothing on the Platform, and nothing communicated by any Jakarta Real Estate representative, constitutes investment, legal, tax, or financial advice, or a recommendation or solicitation to buy, sell, lease, or otherwise deal in any specific Opportunity. Any general market commentary is provided for informational purposes only and should not be relied upon as a basis for any investment decision.

6.2 Real estate investment risk. The Investor acknowledges that real estate investment, and cross-border investment in particular, carries inherent risks, including but not limited to market volatility, illiquidity, currency fluctuation, delayed or unsuccessful development completion, changes in Applicable Law (including changes to foreign ownership rules, tax rates, and minimum capital thresholds), title defects, force majeure events, and total or partial loss of invested capital.

6.3 No guarantee. JAKARTA REAL ESTATE MAKES NO REPRESENTATION, WARRANTY, PROMISE, OR GUARANTEE, EXPRESS OR IMPLIED, REGARDING: (A) THE FUTURE VALUE, RENTAL YIELD, OCCUPANCY, OR RESALABILITY OF ANY OPPORTUNITY; (B) THE FINANCIAL STANDING, SOLVENCY, OR PERFORMANCE OF ANY DEVELOPER, SELLER, LANDLORD, OR THIRD-PARTY PROVIDER; (C) THE COMPLETION OF ANY OFF-PLAN OR UNDER-CONSTRUCTION PROJECT; OR (D) THE AVAILABILITY, CONTINUITY, OR FAVORABILITY OF ANY VISA, TAX, OR FOREIGN-OWNERSHIP REGIME REFERENCED ON THE PLATFORM AT THE TIME OF INVESTMENT.

7. Legal, Accounting, and Ancillary Referral Services

7.1 Independent Third-Party Providers. Where the Investor elects to use Jakarta Real Estate's referral network for notarial, legal, accounting, tax, PT PMA incorporation, or immigration services, each such Third-Party Provider acts as an independent professional, licensed and regulated under Applicable Law, and not as an employee, partner, or agent of Jakarta Real Estate.

7.2 No supervision or endorsement of professional advice. Jakarta Real Estate does not supervise, review, or take responsibility for the professional advice, work product, deeds, filings, tax computations, or opinions rendered by any Third-Party Provider. The Investor's recourse for any error, omission, negligence, or professional misconduct by a Third-Party Provider lies solely against that Third-Party Provider under the professional indemnity, licensing, or disciplinary regime applicable to that provider (e.g., the PERADI Code of Ethics for advocates, or the Notary Law No. 2 of 2014 as amended for notaris/PPAT), and not against Jakarta Real Estate.

7.3 Referral fees disclosure. The Investor acknowledges that Jakarta Real Estate may receive a referral fee, commission, or other commercial benefit from a Third-Party Provider, developer, or seller in connection with an introduction. Jakarta Real Estate will use reasonable efforts to disclose any such fee arrangement upon written request, but the existence of such a fee does not constitute, and must not be construed as, an endorsement of the quality, suitability, or fairness of the referred party's services or Opportunity.

8. Limitation of Liability and Disclaimer

8.1 No liability for investment loss. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, JAKARTA REAL ESTATE, ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AND AFFILIATES SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY LOSS OF INVESTED CAPITAL, LOSS OF PROFIT, LOSS OF ANTICIPATED RETURN, OR ANY OTHER FINANCIAL LOSS ARISING FROM OR IN CONNECTION WITH ANY OPPORTUNITY, WHETHER SUCH LOSS ARISES FROM MARKET MOVEMENT, TITLE DEFECT, DEVELOPER DEFAULT, FRAUD BY A THIRD PARTY, REGULATORY CHANGE, OR ANY OTHER CAUSE, PROVIDED THAT NOTHING IN THIS CLAUSE EXCLUDES LIABILITY FOR JAKARTA REAL ESTATE'S OWN FRAUD, WILFUL MISCONDUCT, OR GROSS NEGLIGENCE, WHICH MAY NOT BE EXCLUDED AS A MATTER OF INDONESIAN LAW.

8.2 General cap and exclusions. Subject to Clause 8.1 and to the extent permitted by Applicable Law: (a) Jakarta Real Estate's total aggregate liability to the Investor arising out of or in connection with the Services, however arising (including in contract, tort/unlawful act (perbuatan melawan hukum) under Article 1365 of the Indonesian Civil Code, or otherwise), shall not exceed the total facilitation/platform fees actually paid by the Investor to Jakarta Real Estate in the twelve (12) months preceding the event giving rise to the claim; and (b) Jakarta Real Estate shall have no liability for indirect, incidental, consequential, special, or punitive damages, including loss of business opportunity, loss of goodwill, or loss of anticipated savings.

8.3 No liability for third-party acts. Jakarta Real Estate shall have no liability for any act, omission, negligence, misrepresentation, fraud, insolvency, or breach of contract by any developer, seller, landlord, PT PMA sponsor, Third-Party Provider, bank, government agency, or any other third party, notwithstanding that such party was introduced to the Investor through the Platform.

8.4 Platform provided "as is". The Platform and all listings, tools, and content made available through it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, save to the extent such warranties cannot lawfully be excluded.

8.5 Acknowledgement of risk allocation. The Investor confirms that the limitations of liability in this Clause 8 reflect a fair and reasonable allocation of risk given: (a) the facilitation-only, non-advisory nature of the Services; (b) the fact that the Investor retains full control over, and bears sole responsibility for, its own due diligence and investment decisions; and (c) the fact that the Investor has had the opportunity to seek independent legal advice before accepting this Agreement.

9. Indemnification

9.1 Investor indemnity. The Investor shall indemnify, defend, and hold harmless Jakarta Real Estate, its directors, officers, employees, and affiliates from and against any and all Losses, claims, demands, actions, or proceedings (including reasonable legal fees) arising out of or in connection with: (a) the Investor's breach of any representation, warranty, or obligation under this Agreement; (b) the Investor's violation of any Applicable Law, including foreign ownership, tax, immigration, or anti-money-laundering rules; (c) any nominee or other arrangement entered into by the Investor in breach of Clause 4.4; (d) the Investor's dealings with any Third-Party Provider, developer, or seller; or (e) any dispute between the Investor and any co-investor, joint venture partner, or family member in relation to an Opportunity.

9.2 Survival. This Clause 9 shall survive termination or expiry of this Agreement for any reason.

10. Anti-Money Laundering, Know-Your-Customer, and Sanctions

10.1 KYC obligations. The Investor shall provide such identification, source-of-funds, and source-of-wealth documentation as Jakarta Real Estate or any Third-Party Provider (including banks and notaris) may reasonably request from time to time to comply with Law No. 8 of 2010 concerning the Prevention and Eradication of Money Laundering and related regulations, and equivalent AML/KYC obligations in the Investor's home jurisdiction.

10.2 Right to refuse or report. Jakarta Real Estate reserves the right, in its sole discretion and without liability, to decline to process any enquiry, suspend or terminate access to the Platform, or report any transaction to the competent Indonesian authority (including PPATK, the Indonesian Financial Transaction Reports and Analysis Centre), where it reasonably suspects money laundering, terrorist financing, sanctions evasion, or other unlawful activity.

11. Fees and Payment

11.1 Platform and facilitation fees. Use of the Platform to browse Opportunities is free of charge. Where Jakarta Real Estate provides bespoke facilitation, coordination, or concierge services, applicable fees will be set out in a separate written fee schedule or engagement letter signed by the Investor prior to the commencement of such services, and such fees are earned upon performance of the facilitation service and are non-refundable except as expressly agreed in that engagement letter.

11.2 No fee contingent on investment performance. For the avoidance of doubt, any facilitation fee payable to Jakarta Real Estate is compensation for the introduction and coordination service rendered, is not contingent on, and does not vary with, the performance, profitability, or eventual outcome of the underlying Investment Opportunity, and does not constitute Jakarta Real Estate taking any position, risk, or interest in the Opportunity itself.

11.3 Third-party fees separate. All fees payable to developers, sellers, notaris/PPAT, advocates, accountants, banks, or the Indonesian government (including BPHTB, PPh, and registration fees) are separate from, and in addition to, any Jakarta Real Estate facilitation fee, and are payable directly by the Investor to the relevant recipient.

12. Intellectual Property

12.1 Ownership. All content on the Platform, including but not limited to text, graphics, logos, the Jakarta Real Estate name and marks, software, and the compilation and curation of listings, is the property of Jakarta Real Estate or its licensors and is protected under Indonesian Law No. 28 of 2014 on Copyright and other applicable intellectual property laws.

12.2 Limited license. Jakarta Real Estate grants the Investor a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for the Investor's own personal or corporate investment evaluation purposes. The Investor shall not scrape, reproduce, redistribute, or create derivative works from Platform content without prior written consent.

13. Confidentiality and Personal Data Protection

13.1 Confidential information. Each party shall keep confidential all non-public information disclosed by the other party in connection with this Agreement and shall not disclose such information to any third party except: (a) to Third-Party Providers reasonably necessary to progress an Opportunity; (b) as required by Applicable Law or a competent court, regulator, or government authority; or (c) with the prior written consent of the disclosing party.

13.2 Personal data. Jakarta Real Estate will process the Investor's personal data in accordance with its Privacy Policy and Law No. 27 of 2022 on Personal Data Protection (UU PDP), including obtaining consent where required before sharing personal data with Third-Party Providers, developers, or cross-border recipients, and implementing reasonable technical and organizational safeguards against unauthorized access.

14. Force Majeure

14.1 Neither party shall be liable for any failure or delay in performance under this Agreement to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to natural disaster, pandemic, war, civil unrest, act of government, change in Applicable Law, currency or capital control restriction, or failure of public infrastructure or the internet.

15. Term, Suspension, and Termination

15.1 Term. This Agreement commences on the date the Investor first accepts these Terms and continues until terminated in accordance with this Clause 15.

15.2 Termination for convenience. Either party may terminate this Agreement for convenience by giving fourteen (14) days' prior written notice to the other party.

15.3 Termination for cause; suspension. Jakarta Real Estate may suspend or terminate the Investor's access to the Platform immediately and without notice if the Investor: (a) breaches any material term of this Agreement; (b) provides false, misleading, or incomplete information; (c) is reasonably suspected of using the Platform for an unlawful purpose, including any nominee arrangement prohibited under Clause 4.4 or any activity giving rise to AML concern under Clause 10; or (d) engages in abusive, fraudulent, or harassing conduct toward Jakarta Real Estate staff or any Third-Party Provider.

15.4 Effect of termination. Termination of this Agreement does not affect any rights or obligations of the parties that accrued prior to termination, and Clauses 5, 6, 8, 9, 10.2, 12, 13, 16, and 17 shall survive termination.

16. Governing Law and Dispute Resolution

16.1 Governing law. This Agreement is governed by, and shall be construed in accordance with, the laws of the Republic of Indonesia, without regard to conflict-of-laws principles.

16.2 Amicable settlement. The parties shall first attempt in good faith to resolve any dispute arising out of or in connection with this Agreement through amicable negotiation within thirty (30) days of written notice of the dispute.

16.3 Arbitration. Any dispute that is not resolved amicably under Clause 16.2 shall be finally and exclusively settled by arbitration administered by the Indonesian National Board of Arbitration (Badan Arbitrase Nasional Indonesia, "BANI") in Jakarta, in accordance with its rules then in force, before [one/three] arbitrator(s), conducted in the [Indonesian/English] language. The arbitral award shall be final and binding on the parties. [Alternative: the parties may instead elect the exclusive jurisdiction of the District Court of South Jakarta (Pengadilan Negeri Jakarta Selatan) — to be confirmed with counsel based on the Investor profile and enforceability considerations in the Investor's home jurisdiction.]

16.4 Interim relief. Nothing in this Clause 16 prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction to preserve its rights pending the outcome of arbitration.

17. General Provisions

17.1 Entire agreement. This Agreement, together with the Privacy Policy and any signed engagement letter or fee schedule, constitutes the entire agreement between the parties in relation to its subject matter and supersedes all prior discussions, representations, or agreements, whether written or oral.

17.2 Amendment. Jakarta Real Estate may amend these Terms from time to time by posting the updated version on the Platform with a revised "Last Updated" date. Continued use of the Platform after such posting constitutes acceptance of the amended Terms. Material changes will, where reasonably practicable, be notified to registered Investors by email.

17.3 Severability. If any provision of this Agreement is held invalid or unenforceable by a court or arbitral tribunal of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be so modified, and the remainder of this Agreement shall continue in full force and effect.

17.4 No waiver. No failure or delay by either party in exercising any right under this Agreement shall operate as a waiver of that right, nor shall any single or partial exercise of a right preclude any other or further exercise of it.

17.5 Assignment. The Investor may not assign or transfer any of its rights or obligations under this Agreement without the prior written consent of Jakarta Real Estate. Jakarta Real Estate may assign this Agreement to an affiliate or successor entity upon notice to the Investor.

17.6 Language. This Agreement is prepared in English [and Indonesian]. In the event of any discrepancy between language versions, the [English/Indonesian] version shall prevail, subject to any mandatory requirement under Law No. 24 of 2009 that agreements involving an Indonesian party be executed in the Indonesian language.

17.7 Notices. All formal notices under this Agreement shall be in writing and delivered by email to the addresses on record, and shall be deemed received on the next business day following transmission.

17.8 Independent legal advice. The Investor confirms that it has been given a reasonable opportunity to seek independent legal advice before accepting this Agreement, and that it enters into this Agreement voluntarily and not in reliance on any representation not expressly set out herein.

Investor Acknowledgement
